Genius Electronic Optical plans to issue new common shares by private placement to 3M United Kingdom Limited as part of an optical-communications partnership, CNA reported on October 15, 2026. The proposed subscription is worth approximately NT$4.81 billion and would give the 3M group a roughly 4.68% stake after completion. The report describes a board resolution to sign the subscription agreement and says customary closing conditions remain. It does not report completed share delivery.
Delivery starts the resale clock
Securities and Exchange Act Article 43-8 restricts resale by subscribers and purchasers, subject to listed exceptions. One route permits transfers after one year and before three years from delivery to specified qualified buyers, subject to regulatory holding-period and quantity limits. Other exceptions include transfers by operation of law, limited small private transfers and regulator-approved transactions. The statute also permits resale once three years have elapsed from delivery.
An announcement or signing date therefore cannot establish the relevant anniversary. A foreign subscriber is bound by the same list; nationality is not among the exceptions. The restrictions must be conspicuously noted on the shares and stated in the relevant written documents delivered to subscribers or purchasers.
For an investment committee, the practical implication is that an assumed exit date needs a documented starting point. A schedule calculated from the press announcement could precede the applicable anniversary if delivery occurs later. That is a planning consequence of the statutory wording, not a statement about 3M's intended holding period or the terms of its proposed subscription.
An exchange sale requires a further process
A permitted resale and admission to public-market trading are separate questions. Article 68 of the Regulations Governing the Offering and Issuance of Securities by Securities Issuers addresses privately placed shares and other covered securities. After three years from delivery, the company must complete the Financial Supervisory Commission's public-issuance procedure before applying for exchange listing or over-the-counter trading. The rule also covers shares subsequently received through a bonus issue on the privately placed shares.
The issuer's existing listing does not perform that procedure for a new private-placement issue. A buyer modeling an exchange sale on a fixed anniversary would therefore need to account for the issuer's filings and the applicable market process. The passage of time does not guarantee a market sale on that date.
The subscription agreement can allocate cooperation duties
The distinction affects what an investor seeks from the issuer during negotiations. A commitment to prepare documents and pursue the required filings describes identifiable work. A promise that the investor will be able to sell on a particular date reaches further, because it assumes a legally available route and completed procedures. Whether either commitment exists, and what happens if it is not performed, depends on the actual agreement.
There is also a limited statutory information right before completion. Under Article 43-6, the company must provide financial, business or other information relevant to the placement in response to reasonable requests from persons covered by Article 43-6(1)(2), before the placement is completed. The provision concerns that specified category; it is not a general right for every prospective investor to demand any document.
These rules give counsel concrete terms to assess together: evidence of delivery, the proposed transfer route and the issuer's promised assistance. The announcement alone does not reveal how the reported parties allocated those responsibilities.
